At a glance
- This is a real contract. Creating an account, starting a free trial, or using Cypher V, M, N, S, P or C means you accept these Terms in full, for yourself and for everyone you let use your account.
- Trial, then a plan. Every new account gets a 7-day free trial of all products. After that you need a paid plan — Basic (Cypher V only) or Premium (everything) — or your phone lines pause.
- Calls and recordings are your legal responsibility. You must tell callers they may be speaking with an AI, disclose recording, and have the consent the law requires before any outbound call or campaign.
- You own your data; we process it as your service provider. Our handling of it is described in our Privacy Notice, which is part of this agreement.
- AI can be wrong. Outputs from our agents are a draft, not a verified fact, a legal opinion, a diagnosis or financial advice. You review before you rely.
- Our website, product, brand and content are not yours to copy, scrape, clone or use as a template — see Intellectual property and brand protection for the full rule and the consequences of breaking it.
- Disputes are settled by confidential international arbitration, after a good-faith attempt to resolve things directly. Mandatory consumer rights where you live still apply.
Agreement and acceptance
Key point: using the Services at all — even during the free trial — means you have accepted this entire document.
These Terms of Service (these "Terms") are a binding agreement between Cypher LM (Private) Limited("Cypher LM", "we", "us", "our"), and the person or organisation that registers for, accesses or uses any Cypher LM product ("Customer", "you", "your"). They govern your access to and use of cypherlm.com, the Cypher LM dashboard and app, our APIs, and the products we market under the Cypher LM name — Cypher V, Cypher M, Cypher N, Cypher S, Cypher P and Cypher C (together, the "Services").
By checking a box, clicking "I agree", creating an account, starting a free trial, connecting a phone number, or otherwise accessing or using the Services, you confirm that you have read, understood and agree to be bound by these Terms, by our Acceptable Use Policy, and by our Privacy Notice, each of which is incorporated into this agreement by reference. If you do not agree, you must not use the Services.
If you are accepting these Terms on behalf of a company or other organisation, you represent that you have the authority to bind that organisation, and "you" in these Terms then refers to that organisation and every team member, admin or agent you authorise to use the account. If you are an individual using the Services for your own business, "you" refers to you personally.
These Terms apply in addition to any order form, statement of work or add-on agreement signed between you and Cypher LM. If there is a direct conflict between a signed order form and these Terms, the order form controls only for the specific point in conflict.
These Terms apply to every way you can reach the Services, including the web dashboard at cypherlm.com, our mobile-friendly app views, our REST and webhook APIs, any widget or embeddable component we provide, and any integration we build or support between the Services and a third-party product you connect. They apply equally whether you access the Services yourself, through a Team Member, through an API key, or through an automated system you build on top of our API.
We may offer certain Services or features only in specific countries, languages or regulatory environments, and we may condition access to a feature on verification of your business, your industry, or your intended use case, particularly for the high-risk use cases described in our Acceptable Use Policy.
Definitions
Capitalised terms used throughout these Terms have the meanings below, in addition to any defined inline elsewhere in this document.
- "Cypher V" means an AI agent configured within Cypher V (or another Service that places or answers calls) to hold phone conversations with Callers on your behalf.
- "Caller" means any person who speaks with, calls, or is called by, one of your Voice Agents, or who is otherwise contacted through the Services.
- "Customer Data" means all data you, your team members or your Callers submit to, generate through, or connect to the Services, including account configuration, knowledge-base content, contacts, calendar data, payment data processed through Cypher P, and Call Data.
- "Call Data" means call and meeting audio, recordings, transcripts, summaries, extracted structured details, and related metadata (timestamps, duration, caller number, outcome tags) generated by Cypher V, Cypher M or Cypher N.
- "Output" means any response, transcript, summary, note, suggestion, booking, payment record or other content generated by or through the Services, including content generated by underlying AI models.
- "Plan" means the subscription tier you select — Basic, Premium, or an add-on — as described on our pricing page, in-app, or in a signed order form.
- "Team Member" means any individual you invite into your account, including admins, agents and viewers, regardless of their job title with you.
- "Sub-processor" means a third party we engage to help deliver the Services, as described in Customer Data and our role as processor below.
- "Campaign" means a set of outbound calls placed by a Cypher V to a list of numbers for a shared purpose, such as appointment reminders, surveys, collections or sales outreach.
- "Knowledge Base" means the documents, FAQs, scripts, pricing information and other reference material you upload or connect for a Cypher V or copilot to draw on when responding to a Caller.
- "Order Form" means a signed document, online purchase flow, or in-app upgrade that specifies your Plan, price and billing term.
Headings in these Terms are for convenience only and do not affect interpretation. Where these Terms say "including," it means "including without limitation" unless stated otherwise.
Eligibility and accounts
You must be at least 18 years old, have the legal capacity to enter into a binding contract, and use the Services only for legitimate business or professional purposes — never as a consumer for personal, household or family use. Cypher LM is a business-to-business product; it is not directed at or intended for use by children.
3.1Registration information
You agree to provide accurate, current and complete information when you register, to keep that information up to date, and to promptly correct it if it becomes inaccurate. You are responsible for the accuracy of any business name, phone number, address and billing detail you give us.
3.2Team members and admins
You may invite Team Members into your workspace and assign them roles (for example, admin, agent, or viewer) through the dashboard. You are responsible for everything that happens under your account, including actions taken by every Team Member you invite, whether or not you authorised the specific action. Admin-level Team Members can configure Voice Agents, connect integrations, view billing, and change plan or payment details — grant that role only to people you trust with that authority. You must remove a Team Member's access promptly when they leave your organisation or no longer need it.
3.3Account security
Keep your login credentials, API keys and any connected-account tokens confidential. Notify us immediately at support@cypherlm.com if you suspect unauthorised access to your account. We are not liable for any loss arising from your failure to safeguard your credentials, though we will help you secure your account once notified.
3.4One account per organisation
An account is intended for a single organisation. You must not share a single account across unrelated businesses, or create duplicate accounts to exceed trial limits, evade suspension, or obtain pricing or usage allowances you are not entitled to. We may merge, suspend or terminate accounts we reasonably believe were created to circumvent these Terms or our pricing.
3.5Verification
We may ask you to verify your business identity, phone numbers, or intended use case before activating certain features, particularly outbound calling, campaigns, or the high-risk use cases described in our Acceptable Use Policy. We may decline to activate a feature, or may suspend it, if verification is incomplete, inaccurate, or raises concerns we are not able to resolve.
The services
Key point: we license you the right to use our software; we do not sell it to you, and the licence ends when your subscription does.
Subject to these Terms and your Plan, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during your subscription term, solely for your own internal business purposes and those of your Callers in connection with your business.
4.1Cypher V — voice agents
Cypher V is our AI voice-agent product. It can answer inbound calls, place outbound calls, run calling campaigns, and perform general-purpose task calls on your behalf, using the configuration, scripts and knowledge base you provide.
4.2Cypher M — live call and meeting copilot
Cypher M listens to live calls or meetings (including by joining Google Meet as a guest participant) and provides real-time transcription, prompts and suggestions to the human running the call.
4.3Cypher N — note taker
Cypher N generates meeting summaries, key details and action items from calls and meetings, and can save them to a Google Doc you connect.
4.4Cypher S — scheduling and bookings
Cypher S manages appointment scheduling, booking confirmations, reminders and calendar coordination, including confirmation calls placed by a Cypher V.
4.5Cypher P — payments
Cypher P lets you collect or process payments in connection with bookings or calls, through our supported payment processors.
4.6Cypher C — contacts
Cypher C stores and organises the contact records your other Services act on, such as caller lists, customer records and campaign targets.
4.7Beta and preview features
Features marked beta, preview, early access or similar are provided "as is," may be changed, limited or withdrawn at any time without liability, and are excluded from any uptime or accuracy commitment we otherwise make.
4.8Changes to the Services
We continuously improve the Services and may add, change or remove features. If we remove a feature that is material to the Plan you are paying for, we will give you reasonable advance notice by email or in-app.
4.9Your configuration choices
The Services are highly configurable: you choose the scripts, Knowledge Base content, voices, calling hours, campaign lists and integrations your Voice Agents and copilots use. We do not review or approve your configuration before it goes live, and you are solely responsible for testing it before you point it at real Callers. We recommend running a Cypher V in a limited test mode, with a small group of internal test calls, before launching it broadly.
4.10Capacity and availability
We aim to keep the Services available and performant, but we do not guarantee any specific uptime figure under these Terms unless a separate signed order form states one. Scheduled maintenance, third-party outages (including at Vapi, Google, Deepgram, Recall.ai, AWS or MongoDB Atlas), and events beyond our reasonable control may affect availability from time to time.
Free trial and plans
5.1Free trial
New accounts receive a 7-day free trial covering all products (Cypher V, M, N, S, P and C), subject to fair-use limits we may apply to prevent abuse. At the end of the trial, if you have not selected a paid Plan, your Voice Agents and phone-related features pause; your configuration and data are retained for a reasonable period so you can resume by subscribing.
5.2Plans
We offer the following Plans, described in full on our pricing page:
| Plan | Included products | Typical use |
|---|---|---|
| Basic | Cypher V only | A single AI voice agent handling calls |
| Premium | Cypher V, M, N, S, P and C | Full suite across calling, copilot, notes, scheduling, payments and contacts |
| Add-ons | Extra minutes, numbers, seats or features | Scaling an existing Basic or Premium plan |
Each Plan includes defined usage allowances (for example, calling minutes, number of Voice Agents, or concurrent calls). Usage beyond your allowance may be billed at the overage rate shown for your Plan, or may require an upgrade before it resumes.
5.3Upgrades, downgrades and add-ons
You can upgrade your Plan, or add add-ons such as extra minutes, numbers or seats, at any time in your dashboard; upgrades take effect immediately and are billed on a prorated basis for the remainder of your current cycle. Downgrades take effect at your next renewal, so that you keep the benefit of what you already paid for in the current period. Moving from Premium to Basic removes access to Cypher M, N, S, P and C at the downgrade's effective date; export any data you need from those products before that date.
5.4Trial-to-paid transition
If you add a payment method and select a Plan before your 7-day trial ends, your configuration, Voice Agents, Knowledge Base and Call Data carry over without interruption. If the trial ends first, see Billing, fees and payment for what happens to a paused account.
Billing, fees and payment
Key point: subscriptions renew automatically, fees already paid are non-refundable, and unpaid invoices can get your phone lines paused.
6.1Fees and invoicing
Paid Plans are billed in advance, monthly or yearly, at the rate shown on our pricing page or in your signed order form. Add-ons are billed on the same cycle as your base Plan unless stated otherwise.
6.2Renewal
Your subscription renews automatically for successive periods of the same length unless you cancel before the renewal date in your account settings or by writing to support@cypherlm.com. Cancellation takes effect at the end of the then-current billing period; we do not prorate partial periods.
6.3Payment authorisation
You authorise us and our payment processors (including Stripe and applicable local payment processors) to charge your designated payment method for all fees, taxes and applicable overages. You must keep a valid payment method on file at all times.
6.4Taxes
Fees are exclusive of taxes, levies and duties, and you are responsible for all such amounts associated with your purchase, other than taxes based on Cypher LM's net income. Where required, we will add applicable sales, VAT, GST or similar taxes to your invoice.
6.5Refunds
Except where required by applicable law or expressly agreed in a signed order form, all fees are non-refundable, including for partial billing periods, unused minutes, or an account you choose to cancel mid-cycle.
6.6Failed payment and suspension for non-payment
Strictly enforced: if a payment fails and is not resolved after notice, we may suspend your account, and your phone numbers and Voice Agents may be paused — calls will not be answered or placed — until payment is received.
If we are unable to collect payment, we will attempt to notify you by email and give you a reasonable opportunity to update your payment method before suspending the Services. Reinstatement after suspension for non-payment may require payment of all outstanding fees plus any reconnection fee then in effect.
6.7Price changes
We may change our prices for future billing periods with at least 30 days' notice by email or in-app. The new price takes effect at your next renewal after the notice period; continuing to use the Services after that date means you accept the new price.
6.8Disputed charges
If you believe we have billed you incorrectly, contact support@cypherlm.com within 30 days of the invoice date. We will investigate promptly and in good faith, and correct any error we confirm. Disputing a charge with your card issuer instead of contacting us first does not excuse any undisputed amount from being paid when due.
6.9Currency and payment methods
Fees are quoted and charged in the currency shown on your pricing page or order form. We accept the payment methods presented at checkout, including major payment cards and, where available, local payment rails supported by our payment processors. You must ensure your payment method remains valid, funded and authorised to accept recurring charges.
Your responsibilities for calls and campaigns
Key point: you — not Cypher LM — are legally responsible for every call your Voice Agents make or receive, and for every campaign you run.
You are solely responsible for configuring and operating your Voice Agents, Cypher M sessions and Cypher S bookings in compliance with all laws that apply to your business, your calls and your Callers, including without limitation:
- telephony, telemarketing and automated-calling laws, including rules resembling the U.S. Telephone Consumer Protection Act (TCPA) and equivalents in any jurisdiction where your Callers are located;
- call-recording and wiretap laws, including one-party or all-party consent requirements that vary by jurisdiction;
- do-not-call registers and any obligation to honour opt-out or do-not-call requests promptly and permanently;
- consumer-protection, anti-fraud and data-protection laws; and
- the rules of the telecom regulator in every country you call or receive calls from.
7.1Disclosure that callers are talking to an AI
You must ensure that Callers are told, in a manner appropriate to the applicable law and context, that they may be speaking with an automated or AI voice agent, and you must never configure a Cypher V to deny being an AI when a Caller sincerely asks.
7.2Disclosure of recording
You must disclose to Callers that calls may be recorded, and obtain any consent that applicable law requires before recording — this may mean disclosure before the call connects, a recorded consent prompt, or both, depending on your jurisdiction.
7.3Consent for outbound calls and campaigns
Before placing any outbound call or running any calling campaign, you must have a lawful basis and any consent required by law, including consent required for automated or prerecorded-voice calls to consumers. You are responsible for maintaining your own do-not-call and opt-out suppression lists and for not calling numbers on them absent a lawful exemption.
7.4Accurate configuration
You are responsible for the accuracy of the information, scripts and knowledge base you give your Voice Agents, and for reviewing their configuration before putting them into production. You must comply with our Acceptable Use Policy at all times.
7.5Do-not-call lists and suppression
You are responsible for maintaining accurate do-not-call and opt-out suppression lists for your own business, for screening your calling and campaign lists against them before each Campaign, and for removing a number within a reasonable time — and in any event before any further Campaign — once a Caller opts out. We may, but are not obligated to, provide tools to help you manage suppression lists; using those tools does not shift responsibility for compliance away from you.
7.6Campaign conduct
Before launching a Campaign, you must confirm you hold the consent or lawful basis the law requires for every number on the list, that the calling hours and frequency comply with applicable rules in the Caller's jurisdiction, and that your Cypher V's script discloses what the law requires it to disclose. We may require you to provide evidence of consent for a Campaign before or after it runs, and may pause a Campaign we reasonably believe is non-compliant.
7.7Recording retention and your own obligations to Callers
If your own privacy notice or contractual obligations to Callers require you to retain, delete or produce Call Data on a particular timeline, you are responsible for managing that through your account settings and export tools, consistent with the retention windows described in Data export and deletion and in our Privacy Notice.
Customer data and our role as processor
You own your Customer Data. You grant Cypher LM a limited, worldwide licence to host, store, transmit, process and display Customer Data solely as necessary to provide, secure, support and improve the Services, and as described in our Privacy Notice, which is incorporated into these Terms.
As between you and Cypher LM, you are the data controller (or equivalent) for personal data about your Callers and Team Members, and Cypher LM acts as your data processor or service provider for that data, processing it only to deliver the Services and on your instructions as reflected in your configuration of them. You represent that you have all rights, consents and legal bases required for us to process Customer Data as described in these Terms and our Privacy Notice.
Full detail on the categories of data we process, our sub-processors, retention periods and your rights is set out in our Privacy Notice. If you require a separate data processing agreement for your organisation's compliance programme, contact contact@cypherlm.com.
8.1Security
We maintain administrative, technical and physical safeguards designed to protect Customer Data against unauthorised access, loss or alteration, consistent with industry practice for a product of this kind. No system is perfectly secure, and you must also do your part: use strong credentials, limit admin access to Team Members who need it, and report suspected incidents to us promptly.
8.2Aggregated and de-identified data
We may use aggregated or de-identified data derived from Customer Data — data that does not identify you, your Callers or any individual — to monitor, maintain and improve the Services, develop new features, and for benchmarking, provided it is not shared externally in a form that could re-identify you or your Callers.
AI output and limitations
Strictly prohibited: relying on Output as a substitute for professional legal, medical or financial advice, or as a substitute for emergency services, without independent human review.
The Services use artificial intelligence, including large language models and speech systems operated by us and by third parties. AI systems can misunderstand Callers, hallucinate facts, summarise inaccurately, or otherwise produce incomplete or incorrect Output. You are responsible for reviewing Output before relying on it for any decision that matters.
Output is not, and must not be presented to Callers or anyone else as, legal advice, medical advice, financial advice, or any other licensed professional advice. The Services are not designed or certified for use with emergency numbers and must never be relied upon as a substitute for emergency services. If your use case touches a regulated field, you remain responsible for meeting the rules of that field and for appropriate human oversight of anything an AI agent says or writes on your behalf.
9.1Known limitations
Speech-to-text transcription can misrecognise accents, background noise, overlapping speech or uncommon names. Summaries produced by Cypher N or suggestions produced by Cypher M reflect a best-effort interpretation of the conversation and may omit or misstate details. Booking confirmations from Cypher S and payment records from Cypher P should be reconciled against your own calendar and payment records, particularly for anything time-sensitive or financially material. We work to continuously improve accuracy, but we do not guarantee any particular error rate.
9.2Your review obligation
Before you act on Output, send it to a Caller, or use it to make a decision that affects a person, you must apply the level of human review that the stakes of that decision warrant. The higher the stakes, the more review is required. This obligation applies with particular force to the high-risk use cases listed in our Acceptable Use Policy.
Third-party services
The Services integrate with and rely on third-party infrastructure and products, including Vapi (voice infrastructure), Google Gemini (AI summaries and suggestions), Deepgram (speech-to-text), Recall.ai (meeting bot infrastructure), Google Workspace APIs (when you connect Google Calendar, Docs or Drive), Amazon Web Services (hosting), MongoDB Atlas (database), and Stripe or local payment processors (for Cypher P). Your use of any connected third-party product is governed by that provider's own terms, and we are not responsible for the acts, omissions, availability or pricing of third-party providers. If a third party changes, restricts or withdraws a service we depend on, we may need to change, suspend or discontinue the related feature, and we will try to give you reasonable notice when practical.
10.1Connecting your own accounts
When you connect a Google account, calendar, payment processor or other third-party account to the Services, you authorise us to access and act on that account to the extent needed to deliver the feature you enabled (for example, writing a meeting note to a Google Doc, or creating a calendar booking). You can disconnect a third-party account at any time in your dashboard; doing so may disable the features that depend on it.
10.2No endorsement
Our integration with a third-party product is not an endorsement of that product, and we make no warranty about a third party's security, reliability or compliance posture. You are responsible for your own due diligence on any third party you choose to connect.
Intellectual property and brand protection
Strictly prohibited: downloading, copying, scraping, reproducing, re-hosting, modifying, reselling, reusing, or using as a design or product "inspiration," template or reference, any part of cypherlm.com or the Cypher LM product.
Every asset that makes up cypherlm.com and the Cypher LM product — including our source code, UI designs, layouts, component systems, animations, illustrations, logos, product names (Cypher V, M, N, S, P, C and the Cypher LM name and marks), marketing and product copy, videos, synthesised voices, prompts, internal documentation, and the overall look, feel and structure of the website and app — is the exclusive property of Cypher LM (Private) Limited, protected by copyright, trademark, trade-dress and other applicable intellectual-property law. Nothing in these Terms transfers any ownership of that property to you.
11.1What is strictly off-limits
Except where these Terms expressly grant you a licence to use the Services, you — and anyone acting on your behalf or at your direction — must not, for any purpose, including competitive research, design inspiration, or building your own product:
- download, copy, scrape, mirror, crawl or systematically extract any code, text, image, video, design file, layout or other asset from cypherlm.com or the product;
- reproduce, re-host, redistribute, publicly display or create derivative works from any part of our website, product UI, branding or documentation;
- use our website or product — in whole or in part — as a design "inspiration," template, reference, or starting point for your own website, product, pitch deck, marketing material or anything else, whether or not you credit us;
- clone, closely imitate, or build a product that mimics the distinctive look, flow, animations, naming conventions, or structure of cypherlm.com or the Cypher LM app;
- reverse engineer, decompile or disassemble the Services, or attempt to extract underlying source code, models, prompts, or training data;
- use any output, screenshot, recording, code, design, prompt, or other content taken from cypherlm.com or the product to train, fine-tune, evaluate or benchmark any artificial-intelligence model; or
- use our name, logos, product names or trademarks in a way that implies endorsement, affiliation or sponsorship without our prior written consent.
11.2Protected asset types
For clarity, "our content" and "our assets" under this section include, without limitation: source code and configuration files; frontend and backend architecture; UI components, design tokens and style systems; page layouts, wireframes and user flows; illustrations, icons, photography and video; animation sequences and motion design; voice recordings and synthesised voices; copywriting, scripts, help content and documentation; product, feature and plan names; logos, wordmarks and colour systems; and the compiled selection, arrangement and presentation of all of the above.
11.3Consequences of violation
Strictly enforced: violating this section will be met with immediate account termination and the full extent of legal action available to us.
If you or anyone acting on your behalf violates this section, we may, without limiting any other remedy: terminate your account immediately and without refund; pursue civil claims for damages and disgorgement of profits; seek injunctive relief to stop continued use or distribution of our property; issue takedown notices to hosting providers, app stores, domain registrars and search engines; and, where the law allows, file criminal complaints under applicable cybercrime, computer-misuse, copyright and trademark laws in every relevant jurisdiction. We will seek to recover our legal costs and expenses from anyone found to have violated this section, to the extent permitted by law.
11.4Licence to use the Services
Subject to these Terms and your Plan, you may use the Services solely as delivered, through the interfaces and APIs we provide, for your own internal business purposes. No licence is granted to copy, resell, white-label or build a derivative or competing product from the Services.
Feedback and confidentiality
12.1Feedback licence
If you send us feedback, suggestions, feature requests or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify and incorporate that feedback into the Services or any other product, without any obligation or payment to you.
12.2Confidentiality
Each party will protect the other's non-public business, technical and product information that it receives in connection with the Services ("Confidential Information"), using at least reasonable care, and will use it only to perform under these Terms. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already known to the receiving party without restriction, is independently developed without use of the other party's Confidential Information, or is lawfully received from a third party without restriction. A party may disclose Confidential Information where required by law, court order or regulator, provided it gives the other party reasonable notice where legally permitted.
Acceptable use, suspension and termination
13.1Acceptable use
Your use of the Services must comply at all times with our Acceptable Use Policy, which is incorporated into these Terms by reference and covers, among other things, prohibited calling practices, prohibited content, high-risk use cases that require our approval, and security rules.
13.2Termination by you
You may stop using the Services and cancel your subscription at any time through your account settings or by emailing support@cypherlm.com. Cancellation takes effect at the end of your current billing period, consistent with Billing, fees and payment above.
13.3Suspension and termination by us
We may suspend or terminate your access to the Services if: you materially breach these Terms or the Acceptable Use Policy and do not cure the breach within 10 days of notice; you fail to pay fees when due, consistent with the non-payment rules above; your use creates a security risk to us, other customers, or Callers; your use violates applicable law; or your continued access could expose Cypher LM or third parties to harm or liability — in the last three cases, we may act immediately and without advance notice.
13.4Effect of termination
On termination, your right to access the Services ends immediately. Provisions that by their nature should survive — including fees owed, intellectual property and brand protection, feedback, confidentiality, disclaimers, limitation of liability, indemnity, governing law and this sentence — survive termination.
13.5Data export and deletion after termination
For 30 days after your account ends, you may export your Customer Data through the dashboard or by requesting an export at support@cypherlm.com. We will provide Call Data, Knowledge Base content, contact records and configuration in a reasonably accessible export format on request during that window. After the 30-day window closes, we may delete your Customer Data from our active production systems in line with the retention practices described in our Privacy Notice, except where we are required by law, by an ongoing dispute, or by our standard backup cycle to retain copies for longer, in which case residual copies are deleted or anonymised in the ordinary course as backups expire. We are not obligated to retain or provide Customer Data beyond this export window, so export anything you need before it closes.
Warranties, liability and indemnity
14.1Disclaimer of warranties
We will provide the Services with reasonable skill and care. Except as expressly stated in these Terms, and to the fullest extent permitted by law, the Services and all Output are provided "as is" and "as available," and we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Services or Output will be uninterrupted, error-free, secure or accurate.
14.2Limitation of liability
To the fullest extent permitted by law: (a) neither party is liable to the other for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, business, goodwill or data, even if advised of the possibility of such damages; and (b) each party's total aggregate liability arising out of or relating to these Terms is limited to the fees you paid to Cypher LM in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, your indemnification obligations, your violation of the Intellectual property and brand protection section, or liability that cannot be limited under applicable law.
14.3Indemnity
You will defend, indemnify and hold harmless Cypher LM and its officers, employees, contractors and agents against any claims, losses, damages and costs (including reasonable legal fees) arising from or relating to: your Customer Data; your calls, campaigns and Cypher V configuration; your or your Team Members' violation of these Terms or the Acceptable Use Policy; and your violation of applicable law or a third party's rights, including a Caller's rights.
14.4Mutual IP indemnity
We will defend you against a third-party claim that the Services, as provided by us and used in accordance with these Terms, infringe that third party's intellectual-property rights, and will pay damages finally awarded against you as a result, provided you notify us promptly and let us control the defence and any settlement. This obligation does not apply to the extent a claim arises from your Customer Data, your configuration, your combination of the Services with something not provided by us, or your use of the Services in violation of these Terms.
14.5Procedure
A party seeking indemnification must give the other party prompt written notice of the claim, reasonable cooperation, and control of the defence and settlement (the indemnifying party may not settle in a way that admits fault by, or imposes non-monetary obligations on, the indemnified party without its consent).
Governing law and disputes
Key point: talk to us first; if that fails, disputes go to confidential international arbitration, and your mandatory local rights are never taken away.
15.1Talk to us first
Before starting any formal proceeding, each party agrees to try in good faith to resolve the dispute through direct negotiation between people with authority to settle it. Send a written description of the dispute to contact@cypherlm.com (or, for disputes we raise, we will write to the email on your account). The negotiation period is 30 days from the date the notice is received.
15.2Binding international arbitration
Any dispute, claim or controversy arising out of or relating to these Terms or the Services that is not resolved through negotiation will be finally resolved by confidential, binding arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC), before a single arbitrator. The arbitration will be conducted in English and, unless both parties agree otherwise, held remotely by video conference. The arbitrator's award is final and may be entered in any court of competent jurisdiction.
15.3Governing law
These Terms are governed by the laws that apply at Cypher LM's place of incorporation, without regard to conflict-of-law principles, and the arbitrator will apply that law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15.4Urgent relief and intellectual property
Nothing in this section stops either party from seeking urgent interim or injunctive relief in any competent court worldwide to prevent irreparable harm, including to stop an ongoing violation of the Intellectual property and brand protection section.
15.5Your local rights
Where you are a consumer, or where the law of your country gives you rights that cannot be waived by contract (including under GDPR, UK GDPR or CCPA/CPRA), those rights continue to apply in full, and this section does not prevent you from bringing a claim that such law allows you to bring locally.
Changes to these Terms and general
16.1Changes
We may update these Terms from time to time to reflect changes to the Services, our practices, or the law. We will post the updated Terms on this page and update the effective date above. If a change materially reduces your rights, we will notify you by email or in-app at least 15 days before it takes effect. Continuing to use the Services after the effective date of an update means you accept the updated Terms.
16.2Entire agreement
These Terms, together with any order form, our Acceptable Use Policy and our Privacy Notice, are the entire agreement between you and Cypher LM about the Services, and supersede any prior discussions or agreements on the same subject.
16.3Severability and waiver
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. A failure by either party to enforce a provision is not a waiver of the right to enforce it later.
16.4Assignment
You may not assign or transfer these Terms, or any right or obligation under them, without our prior written consent. We may assign these Terms to an affiliate, or in connection with a merger, acquisition, reorganisation, or sale of substantially all our assets.
16.5Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, internet or telecom outages, or government action.
16.6Notices
Notices to us under these Terms must be sent to contact@cypherlm.com. Notices to you may be sent to the email address on your account or posted in-app.
